1. Introduction

These Terms and Conditions ("Terms") govern your use of the Auriga Research website at aurigaresearch.com ("Website") and the laboratory testing and analytical services ("Services") provided by Auriga Research (a division of Arbro Pharmaceuticals Pvt. Ltd.) ("Auriga Research", "we", "us", or "our").

By accessing this Website or engaging Auriga Research for testing services, you ("Client", "you") agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our Website or Services.

These Terms apply to all visitors to our Website and all clients who engage our laboratory testing services. Where a separate written service agreement or quotation letter exists between Auriga Research and a client, the terms of that agreement shall prevail to the extent of any inconsistency.

2. Use of Website

You may use our Website for lawful purposes only. You agree not to:

  • Use the Website in any way that violates applicable laws or regulations in India or internationally
  • Transmit unsolicited commercial communications or spam
  • Attempt to gain unauthorized access to any part of the Website or our systems
  • Scrape, crawl, or systematically extract data from the Website without our written permission
  • Reproduce, distribute, or modify Website content without prior written consent
  • Impersonate Auriga Research, our employees, or any other person or entity

We reserve the right to restrict access to or terminate access to the Website for any user who violates these Terms.

3. Laboratory Testing Services

3.1 Service Engagement

Laboratory testing services commence upon the Client's acceptance of a formal quotation or purchase order issued by Auriga Research. Verbal instructions are accepted in good faith but must be confirmed in writing within 24 hours of sample submission. Auriga Research reserves the right to decline any test request at its sole discretion.

3.2 Sample Submission and Handling

Clients are responsible for submitting samples in appropriate containers and quantities as specified by our laboratory requirements. Samples must be accurately labelled with product name, batch number, manufacturing date, and any relevant hazard information. Auriga Research will not be liable for incorrect results arising from improperly collected, labelled, or preserved samples.

Samples submitted to Auriga Research are accepted on the understanding that:

  • Samples may be consumed during testing and cannot always be returned
  • Retained samples will be stored for a period of 30 days post-reporting unless otherwise agreed in writing
  • Samples containing hazardous, controlled, or regulated substances must be declared at submission
  • Clients confirm they have legal authority to submit the samples for testing

3.3 Turnaround Times

Turnaround time estimates provided in quotations are indicative and not contractual guarantees. Standard turnaround applies from receipt of acceptable samples and any required technical documentation. Auriga Research will endeavour to meet quoted timelines but shall not be liable for delays caused by:

  • Delayed receipt of complete sample sets or required documentation
  • Sample failures requiring repeat testing
  • Force majeure events including natural disasters, strikes, or government directives
  • Equipment maintenance or calibration requirements

Priority or expedited testing services are available for an additional fee. Please contact us to discuss urgent requirements.

3.4 Test Reports

Test reports issued by Auriga Research are accurate and impartial assessments of the samples as received and tested. Reports relate only to the specific samples tested and should not be construed as applying to the entire batch, lot, or production unless otherwise stated. Auriga Research's test reports may not be partially reproduced or used in a manner that misrepresents the findings. Full reports may be reproduced for regulatory submissions with appropriate attribution to Auriga Research.

3.5 Result Confidentiality

All test results, client information, and sample details are treated as strictly confidential. Auriga Research will not disclose client data or test results to third parties without express written consent, except where required by applicable law or a valid regulatory authority order. Our laboratory staff are bound by confidentiality obligations that extend beyond their employment.

4. Intellectual Property

All content on this Website — including text, graphics, logos, images, data compilations, and software — is the property of Auriga Research or its content suppliers and is protected by applicable intellectual property laws. The Auriga Research name, logo, and associated brand elements are trademarks of Arbro Pharmaceuticals Pvt. Ltd.

Nothing in these Terms grants you any right to use our intellectual property for commercial purposes without prior written permission. Educational and non-commercial references to our services with appropriate attribution are permitted.

Test methods, SOPs, and analytical procedures developed by Auriga Research remain our exclusive intellectual property. Where we develop custom methods for clients under a specific agreement, ownership terms will be specified in that agreement.

5. Payment and Invoicing

Payment terms for laboratory testing services are as specified in the relevant quotation or service agreement. Standard payment terms are net 30 days from invoice date unless otherwise agreed. Auriga Research reserves the right to withhold test reports pending receipt of payment for services. Overdue invoices may attract interest at the rate of 1.5% per month or such rate as permitted by applicable law.

All prices are exclusive of applicable taxes, including GST, unless explicitly stated otherwise. GST will be charged at the applicable rate at the time of invoicing.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Auriga Research's total liability to any client — whether arising from contract, tort, negligence, or otherwise — shall not exceed the total fees paid by that client for the specific services giving rise to the claim in the twelve months preceding the claim.

Auriga Research shall not be liable for any:

  • Indirect, consequential, incidental, or punitive damages
  • Loss of profit, revenue, or business opportunity
  • Regulatory penalties arising from reliance on our test results, except where arising from our gross negligence or wilful misconduct
  • Damages arising from sample contamination, degradation, or mislabelling not attributable to our handling

7. Dispute Resolution

Any dispute arising out of or in connection with these Terms or the provision of services shall first be attempted to be resolved through good-faith negotiation between the parties within 30 days of written notice of the dispute.

If the parties cannot reach a negotiated resolution, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, India. The seat of arbitration shall be Delhi, India. The language of arbitration shall be English. The arbitral award shall be final and binding.

8. Governing Law

These Terms and any dispute or claim arising out of or relating to these Terms (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the courts of Delhi, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

9. Amendments to These Terms

Auriga Research reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our Website or Services after the posting of changes constitutes acceptance of the updated Terms.

Clients with existing service agreements will be notified of any material changes to these Terms that affect their ongoing engagements.
